Why This Matters for Operators¶
Shareholder activism is a governance risk that arrives with little warning: an activist builds a stake, publishes a letter, demands board seats, and suddenly the board, the IR team and the CEO are living inside a campaign. The public record exists - 13D/G filings, letters, proxy materials, settlements - but it is scattered across decades, and the difference between a pressure campaign and a board-seat campaign is the pattern, not the press release.
The data model is the campaign, not the company: every record is time-ordered and interconnected - early signals, stake-building, ownership and vehicles, demands and escalation, outcomes and precedent - with source lineage throughout. Questions that used to take a research analyst - "which activists have targeted this sector twice since 2019", "what did board-representation settlements actually give up", "build a dated timeline of this campaign" - become one conversation with an assistant, with the underlying filings linked where available.
The research credibility is public: DEF 14's work on activist director selection, informal settlements and spinout lineages has been published via the Harvard Law School Forum on Corporate Governance. It is read-only by design - no trading, no filings, no actions - and each user needs their own seat.

Installation¶
Connection details are provided securely to eligible customers during onboarding or through an authenticated DEF 14 account. Add the service in the assistant's connection settings, sign in through the DEF 14 authentication flow, authorize, and confirm the tools appear. DEF 14 verifies seat and entitlements before granting access.
Configuration¶
Compatible with ChatGPT, Claude, Microsoft Copilot and other MCP clients; specific setup varies by client and is confirmed during onboarding. There is no public endpoint and no free tier: evaluating teams request an MCP trial from DEF 14 directly.
Business Relevance¶
- Public-company executives and boards read comparable campaigns before one arrives at their own door.
- IR and governance teams build dated campaign timelines with sources in minutes, not days.
- Funds and advisors compare activist histories, vehicles and outcomes across decades of precedent.
- Legal and strategy partners trace the underlying record - filings, agreements, settlements - with source links.
Integration with CorpusIQ¶
CorpusIQ reads a company's own numbers read-only - financial systems, ads, analytics, 40+ connectors - which is exactly what a board needs when an activist's claims arrive: verify the margin trend, the cash position, the buyback, in the same conversation as the campaign record. DEF 14 supplies the external governance context; CorpusIQ supplies the internal facts the campaign will be argued against.
Limitations¶
- Enterprise pricing: $10,680 per seat per year; every user needs an assigned seat.
- No public endpoint and no self-serve tier; access is provisioned at onboarding.
- Read-only: it does not trade, file, contact companies or modify records.
- Coverage varies by company, campaign, market and period; some sources live with third parties.
- Not legal, tax or investment advice.
